Terms of Service

These Terms of Service constitute a binding agreement between you ("Client" or "you") and Cogle Consultancy LLC ("Company," "we," "our," or "us") governing your use of this website and engagement of our advisory services.

1. Acceptance of Terms

By accessing this website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must refrain from using the website or engaging our services.

2. Description of Services

Cogle Consultancy LLC provides strategic business consulting, professional networking, and resource procurement services. Our services include, but are not limited to:

  • Strategic advisory on domestic and international investment opportunities.
  • Guidance on corporate entity formation in foreign jurisdictions.
  • Procurement and vetting of licensed legal, accounting, and compliance professionals.
  • Supply chain sourcing, vendor evaluation, and B2B networking.

Important Disclaimer: Cogle Consultancy LLC is not a licensed financial advisory firm, law firm, or certified public accounting practice. We do not provide licensed financial, legal, or tax advice. All specialized execution is performed by independently licensed third-party professionals whom we may introduce to you through our network.

3. Engagement with Network Professionals

When we facilitate an introduction between you and a third-party professional (including but not limited to attorneys, CPAs, compliance consultants, or financial planners), the resulting engagement is a direct contractual relationship between you and that third party. Cogle Consultancy LLC serves solely as the introductory and strategic liaison.

While we rigorously vet all professionals within our network based on our direct experience, we do not guarantee the outcomes of any third-party engagement. You are responsible for conducting your own due diligence before entering into any agreement with a referred professional.

4. Client Obligations

As a client or user of our services, you agree to:

  • Provide accurate and truthful information relevant to the engagement.
  • Use our services and any introductions made through our network in good faith and in compliance with all applicable laws.
  • Refrain from misrepresenting the nature of your business or objectives in a manner that could expose Cogle Consultancy or its network partners to legal or regulatory liability.

5. Intellectual Property

All content on this website, including text, graphics, logos, and design elements, is the property of Cogle Consultancy LLC and is protected under applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this site without our prior written consent.

6. Limitation of Liability

To the fullest extent permitted by law, Cogle Consultancy LLC, its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from:

  • Your use of or inability to use our website or services.
  • Any actions taken or decisions made based on information provided during our consultations.
  • The performance, conduct, or quality of services rendered by third-party professionals introduced through our network.
  • Any unauthorized access to or alteration of your transmissions or data.

7. Indemnification

You agree to indemnify, defend, and hold harmless Cogle Consultancy LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or related to your use of our services, your breach of these Terms, or your violation of any applicable law or regulation.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of the State of New Jersey or the United States District Court for the District of New Jersey.

9. Dispute Resolution

In the event of any dispute arising from these Terms or the services provided, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in the State of New Jersey, administered under the rules of the American Arbitration Association.

10. Termination

We reserve the right to terminate or suspend your access to our website and services at our sole discretion, without prior notice, for conduct that we determine to be in violation of these Terms or harmful to other users, us, or third parties. Upon termination, all provisions of these Terms which by their nature should survive termination shall remain in full force and effect.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
